AGREEMENT TO OUR LEGAL TERMS
These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Jobiit Technologies Limited ("Jobiit," "we," "us," or "our"), concerning your access to and use of the Jobiit mobile application ("Jobiit") and website (https://jobiit.com), as well as any other media form, media channel, or mobile application related, linked, or otherwise connected thereto (collectively, the "Services") as a registered trader.
Jobiit is a marketplace platform connecting customers with independent local traders and tradespeople. Jobiit acts solely as an intermediary — we facilitate the connection between customers and traders. When a customer accepts your Quote, they enter into a direct contract with you (or your company) — not with Jobiit. Jobiit is not a party to that contract.
You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use from time to time. We will notify you of material changes by email or in-app notification at least 15 days before the changes take effect, in accordance with the EU Platform-to-Business Regulation Art. 3(2). Your continued use of the Services after the effective date constitutes acceptance of the amended Terms. If you do not agree with the amended Terms, you may close your account before the effective date. Where an amendment would require you to make significant technical or commercial adjustments, Jobiit will provide a longer notice period proportionate to the nature and extent of the changes.
All users who are minors in the jurisdiction in which they reside (generally under the age of 18) are not permitted to register for or use the Services.
Our Privacy Policy, available at https://jobiit.com/legal/privacy, is incorporated into these Terms of Use. Please review it. By using the Services, you consent to the collection, use, and sharing of your information as described in our Privacy Policy. The Services are hosted in Ireland.

1. DEFINITIONS
In these Terms of Use ("Terms"), the following definitions apply:
- "Jobiit", "we", "us", "our" — Jobiit Technologies Limited, a company incorporated in Ireland.
- "Platform" / "Services" — The Jobiit mobile application(s) and website (jobiit.com), including all features, tools, and services provided through them.
- "Trader", "you", "your" — Any individual, sole trader, or company registered on the Platform to offer services to customers. References to "you" include your employees, sub-contractors, and agents where applicable.
- "Customer" — Any individual who creates a customer account on the Platform to post Jobs and engage traders.
- "Job" — A request for services posted by a customer on the Platform.
- "Quote" — A priced proposal submitted by you in response to a Job, including labour, materials, and VAT.
- "Platform Fee" — The fee charged by Jobiit for facilitating the transaction, deducted from each payment before funds are transferred to your Stripe Connect account.
- "Account Owner" — The individual who registered the trader account. For company accounts, this is the person who completed the registration process.
- "Team Member" — An employee, sub-contractor, or other authorised person invited by the Account Owner to access and use the Platform on behalf of the trader account.
- "Content" — All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Services.
- "Marks" — The trademarks, service marks, and logos contained in or displayed on the Services.
- "Privacy Policy" — Jobiit's Privacy Policy, available at https://jobiit.com/legal/privacy, which forms part of these Terms.
- "Stripe" — Stripe, Inc., the third-party payment processor used by Jobiit.
- "Revenue" — The Revenue Commissioners of Ireland.
- "Guarantee" / "Jobiit Guarantee" — The customer-facing guarantee described at https://jobiit.com/legal/guarantee, as amended from time to time, under which Jobiit may contribute up to €500 toward putting right Sub-Standard Work.
- "Sub-Standard Work" — has the meaning given to it in the Guarantee Terms.
2. OUR SERVICES
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
3. INDEPENDENT CONTRACTOR STATUS
- You are an independent contractor. You are not an employee, agent, partner, or representative of Jobiit.
- Jobiit does not control your working hours, methods, tools, or pricing. You are free to accept or decline any Job and to work on competing platforms simultaneously.
- You may maintain your own client base outside the Platform without restriction.
- You provide your own tools, materials, and equipment. Jobiit does not provide, reimburse, or subsidise any of these.
- There is no minimum work requirement. You may be inactive on the Platform for any period without penalty.
- You are solely responsible for your own tax obligations, including income tax, PRSI, USC, and VAT registration/returns.
- Nothing in this agreement creates an employment relationship, and you shall not hold yourself out as an employee of Jobiit.
- Team assignment: You are not required to perform services personally. Company accounts may add Team Members (employees or sub-contractors) through the Platform. When a Team Member is assigned to a Job, the customer is notified through the Platform of who will attend. All Team Members must: (a) hold any qualifications or certifications required for the work, (b) be covered by the company's employer's liability and public liability insurance, and (c) have been invited and onboarded through the Platform. The Account Owner remains fully responsible to the customer for the quality and completion of the work regardless of which Team Member performs it.
- You have the right to collectively organise and discuss fees with other traders, in accordance with the Competition (Amendment) Act 2022.
4. ELIGIBILITY & REGISTRATION
- You must be at least 18 years of age to register as a trader on the Platform.
- You must provide accurate, complete, and current information during registration, including your legal name, trading name (if different), registered address, contact details, company registration number (CRO), and VAT number (if applicable).
- You must be legally authorised to provide the services you offer through the Platform.
- You agree to keep your password confidential and will be responsible for all use of your account and password.
- Jobiit reserves the right to refuse registration or require additional verification at its discretion.
5. INSURANCE & QUALIFICATION REQUIREMENTS
- You (or your company) must maintain valid public liability insurance with a minimum coverage of €6.5 million (or as required for your trade) for the duration of your registration on Jobiit.
- If your company has employees, you must also maintain Employers' Liability insurance with a minimum coverage of €13 million, as required under the Safety, Health and Welfare at Work Act 2005.
- For trades involving professional advice or design (e.g., architects, engineers), you must additionally maintain Professional Indemnity insurance at an appropriate level for your trade.
- You must upload proof of insurance and keep expiry dates current. Jobiit will automatically suspend your account if your insurance expires without renewal. You will receive a notification 30 days before expiry.
- Jobiit uses automated document processing to assist with insurance verification but does not guarantee the accuracy of automated verification. You are solely responsible for ensuring your insurance is valid and adequate.
- Relevant trade qualifications must be uploaded and kept current. Expired qualifications will result in account restrictions.
6. PLATFORM FEES & PAYMENT TERMS
- Jobiit charges a Platform Fee as a percentage of each job payment. The applicable fee rate is displayed in your account dashboard and may vary by service category and region.
- Fees are automatically deducted from payments before funds are transferred to your Stripe Connect account.
- VAT on Jobiit's fee is charged at the applicable Irish rate and is itemised separately. If you are VAT-registered, the reverse charge mechanism may apply — consult your tax advisor.
- Payouts to your bank account are managed by Stripe according to their payout schedule (typically daily, with a short holding period for new accounts).
- Jobiit reserves the right to withhold payments pending investigation of complaints, disputes, or suspected fraud.
- Disputed payments must be notified to Jobiit in writing within 90 days of the payment date.
- All payments are processed in Euros (€) via Stripe.
- You agree to provide current, complete, and accurate account and payment information. You further agree to promptly update this information as necessary.
7. PRICING & QUOTES
- You set your own prices. Jobiit does not control or cap your rates.
- Quotes must include all applicable costs (labour, materials, VAT) and must be transparent and accurate.
- Once a customer accepts a Quote, it becomes a binding agreement between you and the customer. Jobiit is not a party to this agreement.
- You are solely responsible for charging the correct rate of VAT and must indemnify Jobiit against any VAT errors, including Revenue penalties.
8. PROHIBITION OF OFF-PLATFORM PAYMENTS
- All payments for services arising from a job lead provided through the Jobiit Platform must be processed exclusively through the Jobiit Platform via Stripe.
- You must not request, accept, or facilitate payment from a customer by cash, bank transfer, cheque, or any other means outside of the Platform in connection with any Job that originated on Jobiit — whether in whole or in part, and whether during or after the Job.
- This obligation applies to the full scope of work arising from a Jobiit job lead, including any variations, additional work, or follow-on work agreed during or as a result of the original Job.
- If Jobiit determines (acting reasonably and on the basis of evidence) that you have accepted or solicited off-platform payment in connection with a Jobiit job lead, Jobiit reserves the right to:
- Immediately suspend your account pending investigation (without the 30-day notice period in Section 9, as this constitutes serious grounds);
- Permanently terminate your account;
- Recover the Platform Fee that would have been payable on the off-platform payment, as a debt due from you to Jobiit, plus Jobiit's reasonable investigative and administrative costs.
- Nothing in this section prevents a customer from independently engaging you for entirely new and unrelated work that does not arise from or relate to a Jobiit job lead.
8A. JOBIIT GUARANTEE — COST RECOVERY

Jobiit operates a customer-facing Jobiit Guarantee (the "Guarantee", see https://jobiit.com/legal/guarantee) under which Jobiit may, at its sole and absolute discretion, contribute up to €500 toward putting right Sub-Standard Work you performed on a job paid through the Platform.

Trader cost recovery: Where Jobiit makes a payment to a customer under the Guarantee in connection with a job you (or a Team Member acting for your account) performed, you agree that the paid amount, together with reasonable administrative and investigative costs, is a debt due from you to Jobiit. Jobiit may recover that debt by any one or more of the following means at its sole discretion:
- (a) Debiting your Stripe Connect balance for the recoverable amount (by way of a charge or transfer reversal on your Connected Account);
- (b) Deducting the recoverable amount from any future payouts owed to you through the Platform, in whole or in part, until the debt is cleared; or
- (c) Invoicing you for the recoverable amount, payable within 14 days of the invoice date.

Notice and opportunity to remediate: Before exercising recovery rights under this section, Jobiit will:
- (i) notify you of the claim and provide a copy of the customer's evidence;
- (ii) give you a reasonable opportunity (no less than 14 days) to put the work right yourself, except where the customer has already given you that opportunity and you declined or failed to respond; and
- (iii) provide a written statement of reasons for any payout decision.

Disputing a recovery: You may dispute a recovery via the internal complaints mechanism in Section 9 within 30 days of being notified of the recovery. Disputed recoveries do not pause the deduction itself (to keep the customer made whole) but may be refunded to you if the dispute is upheld.

Quality review: A Guarantee payout against your account is treated as a serious quality issue and will trigger review under Section 9. Repeated payouts may result in suspension or termination of your account.

Final decision: For the avoidance of doubt, Jobiit's decision on whether to pay a customer under the Guarantee — and the amount of any such payment — is made at Jobiit's sole and absolute discretion and is final and binding for the purposes of this section. Your right to dispute the recovery from you under the bullet above is separate from, and does not re-open, that customer-facing decision.

This section does not limit Jobiit's other rights of recovery (e.g. under Section 17 — Indemnification, or Section 8 — Prohibition of Off-Platform Payments).
9. ACCOUNT APPROVAL, SUSPENSION & COMPLAINTS
- Jobiit reserves the right to approve, reject, suspend, or terminate your account.
- 30-day prior notice: Except where there are serious grounds (fraud, illegality, safety concerns, off-platform payment violations under Section 8, or anti-corruption violations under Section 19), Jobiit will provide at least 30 days' written notice before restricting, suspending, or terminating your account, with a detailed statement of reasons for the decision. This is in accordance with the EU Platform-to-Business Regulation 2019/1150.
- Immediate suspension (without 30-day notice) is permitted for: expired insurance, fraud, customer safety concerns, illegal activity, acceptance of off-platform payments in breach of Section 8, or anti-corruption violations under Section 19.
- Internal complaint mechanism: If you disagree with a decision affecting your account (restriction, suspension, termination, content removal), you may submit a complaint through the app or by emailing hello@jobiit.com. Complaints will be investigated and resolved within 30 days. This complaint mechanism is free of charge.
- Mediation: If your complaint is not resolved to your satisfaction, you may escalate to mediation. Jobiit has identified the following mediators: [Name 1, Irish-registered mediator] and [Name 2, Irish-registered mediator]. Mediation is voluntary for both parties.
- Upon termination, any pending payments will be released after a 30-day holding period to allow for dispute resolution, unless payment is subject to an ongoing investigation or active customer complaint. Where an investigation is ongoing, the hold may be extended for the duration of the investigation, up to a maximum of 90 days from termination.
10. TRADER TRACEABILITY & SELF-CERTIFICATION
By registering as a trader on Jobiit, you are required to provide the following information (which Jobiit will verify before allowing you to offer services):
- Full legal name and trading name (if different)
- Registered address and contact details (phone, email)
- Copy of identity document
- Company registration number (CRO) and VAT number (if applicable)
- Payment account details (via Stripe Connect)
- A self-certification that you will only offer services through Jobiit that comply with all applicable laws and regulations
You must notify Jobiit of any changes to this information without delay. Jobiit will verify this information before your account is activated and may re-verify periodically.
11. TEAM ACCOUNTS & MULTI-USER ACCESS
- Where a trader account is operated by a company, partnership, or sole trader with employees, the person who registered the account is the Account Owner.
- The Account Owner may invite Team Members (employees, sub-contractors, or other authorised persons) to access and use the Platform on behalf of the account via the team management feature.
- The Account Owner is solely responsible for:
- The actions and omissions of all Team Members on the Platform, as if those actions were the Account Owner's own;
- Ensuring all Team Members comply with these Terms, including insurance and qualification requirements;
- Ensuring all Team Members hold any qualifications or certifications required for the work they perform through the Platform;
- The accuracy of all personal data provided for Team Members, and for having a lawful basis under GDPR (typically the employment contract or legitimate interest) to share Team Member personal data with Jobiit;
- Promptly revoking access for any Team Member who leaves the company, is no longer authorised, or whose conduct breaches these Terms.
- Jobiit processes Team Member data (name, email, phone, role) as described in our Privacy Policy. The Account Owner warrants that they have obtained any necessary consents or have another lawful basis to provide this data to Jobiit.
- A breach of these Terms by any Team Member shall be treated as a breach by the Account Owner for the purposes of account suspension and termination under Section 9.
- Jobiit may limit the number of Team Members per account and may require additional verification for Team Members at its discretion.
12. DAC7 TAX REPORTING OBLIGATIONS
- Under EU Directive 2021/514 (DAC7), as transposed into Irish law by SI 609/2022 (Mandatory Automatic Exchange of Information in the Field of Taxation Regulations 2022), Jobiit is a Reporting Platform Operator and is legally required to collect and report certain information about traders to the Revenue Commissioners annually.
- By registering as a trader, you acknowledge and agree that Jobiit is legally obligated to collect and report the following to Revenue by 31 January each year (for the preceding calendar year):
- Your full legal name, date of birth, and address
- Your Tax Identification Number (TIN) / PPS number (or equivalent for non-Irish residents)
- Your VAT registration number (if applicable)
- Your Company Registration Office (CRO) number (if applicable)
- Your bank account details (as held by Stripe Connect)
- The total consideration (gross payments) paid to you through the Platform during the reporting period
- The number of transactions completed
- Any fees, commissions, or taxes deducted by Jobiit
- You are required to provide accurate and complete tax information during registration and to notify Jobiit without delay of any changes. Failure to provide the required information may result in Jobiit being unable to activate or continue your account.
- Jobiit may verify the accuracy of your TIN and VAT number using verification services provided by Revenue or EU Member State tax authorities.
- This reporting is a legal obligation — Jobiit cannot opt out, and your use of the Platform constitutes acknowledgement of this requirement. The legal basis for processing this data under GDPR is legal obligation (Art. 6(1)(c)).
- Jobiit will provide you with a copy of the information reported to Revenue upon request.
12A. RANKING, PAID VISIBILITY & PRIORITY PRODUCTS
Ranking parameters (Regulation (EU) 2019/1150 — "P2B"). When your company or its traders are surfaced to customers, or when new jobs are matched to traders, the main parameters are, in order of general importance:
- Service-area coverage — whether the trader's service area covers the job or customer location (an eligibility requirement, never overridable);
- Service category match — whether the trader offers the required service (an eligibility requirement, never overridable);
- Availability and capacity — whether the trader is active, accepting jobs, and below concurrent-job capacity;
- Geographic proximity — distance from the trader to the job location;
- Aggregate customer rating and review volume; and
- Paid priority and sponsored visibility — as described below, where purchased.
Paid products. Jobiit may offer companies paid products, including sponsored visibility (clearly labelled placement of your company on customer surfaces) and priority notification (earlier notification of matching jobs, and ordering preference among otherwise-comparable traders) (each a "Paid Product"). Paid Products affect timing, ordering and visibility only. They never widen eligibility: no Paid Product allows your company or traders to appear for locations you do not cover or services you do not offer, and no Paid Product exempts you from verification, quality or conduct standards.
No guaranteed appearance or outcomes. Paid Products are opportunities for visibility and timing — nothing more. Whether, when, where and how often your company appears or is notified depends on, among other things: limited slot capacity in each area; rotation among eligible member companies; the customer's location, filters, device and surface; and the availability at that moment of a bookable trader from your company (active, verified and within capacity). Jobiit does not guarantee any specific or minimum number or share of placements, impressions, notifications, head starts, enquiries, jobs, bookings or revenue, nor any other commercial outcome, and no marketing or in-app material shall be read as such a guarantee.
Priority notification — mechanics and team accounts. Priority notification provides a short, variable head start before a matching job is released generally. The duration of the head start is set operationally by Jobiit, may differ between jobs and areas, may be changed at any time, and is never a fixed entitlement. For companies with more than one trader, the head start attaches to a limited number of the company's best-placed traders for the particular job, as determined by Jobiit (for example, by customer rating and proximity); the number of such traders per company is set by Jobiit and may change. Other team members are notified at general release. Priority notification does not reserve, allocate or guarantee any job.
No exclusivity; limited availability; waitlist. Availability of Paid Products is deliberately limited in each area and category so that the benefit remains meaningful, but Paid Products are never exclusive: they grant no exclusivity over any job, customer, area or category, and Jobiit may adjust capacity limits from time to time. Where availability is sold out, your company may join a waitlist. Joining the waitlist creates no obligation on Jobiit or on your company, confers no queue position or right of first refusal, and waitlist entries expire automatically after a period of inactivity. Offers of freed capacity are made at Jobiit's discretion.
Quality standards apply to paid benefits. Paid benefits may be suspended, without refund of past periods, where your company falls below Jobiit's quality standards (including verification status, approval status, or minimum rating thresholds). Where a paid benefit is suspended on quality grounds, Jobiit will notify you and renewals will pause while the suspension lasts. Decisions on suspension, waitlist ordering and offers, selection of best-placed traders for priority notification, allocation and rotation of limited placement availability, capacity limits, and pricing outcomes are made by Jobiit in its sole and absolute discretion and are final and non-appealable.
Fair use and integrity. Your company must not manipulate or attempt to manipulate any Paid Product, including by: declaring service areas or service categories your company does not genuinely serve (whether to influence pricing, demand measurement or capacity); manipulating ratings or reviews; splitting, duplicating or restructuring companies, teams or accounts to circumvent capacity limits or per-company limits; or purchasing Paid Products for resale or transfer. Where Jobiit reasonably believes this paragraph has been breached, it may suspend or terminate the affected Paid Products immediately and without refund, in addition to its rights under Sections 9 and 15.
Coverage-based scope and pricing. Paid Products apply automatically wherever your company's traders' declared service areas reach at any given time; there is no separately purchased territory. Pricing is calculated from your company's service-area coverage and recent job demand within it at the time of purchase.
Renewal pricing follows coverage and demand. At each renewal the price of a Paid Product (including sponsored visibility and priority notification) is recalculated on the same basis as at purchase, from your company's then-current service-area coverage and recent job demand within it. If your coverage or the demand it contains has changed, your renewal price changes with it. Jobiit will notify you of a changed renewal amount before it takes effect; continued renewal after notice constitutes acceptance.
Term, cancellation and refunds. Paid Products renew monthly until cancelled. You may cancel at any time with effect from the end of the current billing period; the benefit continues until that date. Except as expressly stated in this Section 12A, amounts paid are non-refundable and no credits are given for partial periods — including where you cancel mid-period, where a benefit is suspended on quality or integrity grounds, or where your company stops trading or loses eligibility. Refunds are given only where: (a) an all-or-nothing order cannot be activated because availability sold out before activation (the entire order is refunded); (b) Jobiit withdraws a Paid Product entirely and the withdrawal takes effect mid-period (pro-rata refund of the unused remainder); or (c) a refund is required by law. If a renewal payment fails, Jobiit may pause the benefit during a grace period and end it where payment is not completed; completing payment within the grace period restores the benefit.
Billing and authority. Paid Products are billed to your company via secure payment links delivered by email; amounts are stated exclusive of VAT, which is applied at the prevailing rate. Sponsored visibility and priority notification are billed as recurring monthly amounts per service category. Orders covering multiple service categories are all-or-nothing: where availability sells out between your order and your payment, Jobiit will not keep your payment — the entire order is refunded and your company is placed on the waitlist. Only company admins may purchase Paid Products, and by placing an order the purchasing admin confirms they are authorised to bind the company. Placing an order in the app and completing payment together constitute your company's acceptance of these Terms, including this Section 12A.
Changes and withdrawal. Jobiit may change the features, mechanics, capacity limits, eligibility thresholds and pricing parameters of Paid Products for future periods with advance notice; continued renewal after notice constitutes acceptance. Jobiit may withdraw a Paid Product at any time; where withdrawal takes effect mid-period, the unused remainder is refunded pro-rata.
Liability for Paid Products. Without prejudice to the mandatory carve-outs in Section 18, Jobiit's total aggregate liability arising out of or in connection with any Paid Product shall not exceed the amounts paid by your company to Jobiit for that Paid Product in the three (3) months preceding the event giving rise to the claim, and the exclusions of indirect and consequential loss in Section 18 (including loss of profits) apply in full to Paid Products.
13. INTELLECTUAL PROPERTY & CONTENT LICENCE
Our Intellectual Property
We are the owner or the licensee of all intellectual property rights in our Services, including all Content and Marks. They are protected by copyright and trademark laws and treaties around the world. All such intellectual property rights are reserved.
Your Use of Our Services
Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Services, solely for the purpose of offering and delivering services to customers through the Platform.
Your Content
- You retain ownership of all content you upload (photos, documents, descriptions).
- You grant Jobiit a non-exclusive, worldwide, royalty-free licence to use, display, and distribute your content on the Platform and in marketing materials for the purpose of operating and promoting the Jobiit service.
- Jobiit retains all intellectual property rights in the Platform, app, algorithms, and branding.
14. USER REPRESENTATIONS
By using the Services, you represent and warrant that:
- All registration information you submit will be true, accurate, current, and complete.
- You will maintain the accuracy of such information and promptly update such registration information as necessary.
- You have the legal capacity and you agree to comply with these Terms.
- You are not under the age of 18.
- You will not access the Services through automated or non-human means, whether through a bot, script, or otherwise.
- You will not use the Services for any illegal or unauthorised purpose.
- Your use of the Services will not violate any applicable law or regulation.
- You are legally authorised to provide the services you offer through the Platform.
- You (or your company) hold valid insurance as required under Section 5.
15. PROHIBITED ACTIVITIES
You may not access or use the Services for any purpose other than that for which we make the Services available. You agree not to:
- Accept or solicit off-platform payments in breach of Section 8
- Engage in discriminatory behaviour based on race, gender, religion, nationality, disability, sexual orientation, or any other protected characteristic
- Harass, abuse, or threaten customers or other users
- Submit fraudulent Quotes or misrepresent the scope, cost, or nature of services
- Submit fake, misleading, or incentivised reviews
- Systematically retrieve data or other content from the Services to create or compile a collection, compilation, database, or directory without written permission from us
- Trick, defraud, or mislead us and other users
- Circumvent, disable, or otherwise interfere with security-related features of the Services
- Make improper use of our support services or submit false reports of abuse or misconduct
- Use the Services in a manner inconsistent with any applicable laws or regulations
- Upload or transmit viruses, Trojan horses, or other material that interferes with any party's uninterrupted use and enjoyment of the Services
- Engage in any automated use of the system, such as using scripts to send comments or messages, or using data mining, robots, or similar data gathering and extraction tools
- Attempt to impersonate another user or person or use the username of another user
- Sell or otherwise transfer your profile or account
- Use the Services as part of any effort to compete with us
- Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Services
Jobiit reserves the right to suspend or terminate your account for violations of this section.
16. MOBILE APPLICATION LICENCE
Use Licence
If you access the Services via the mobile application, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the mobile application on wireless electronic devices owned or controlled by you, and to access and use the mobile application on such devices strictly in accordance with these Terms.
You shall not:
- Decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the application
- Make any modification, adaptation, improvement, enhancement, translation, or derivative work from the application
- Violate any applicable laws, rules, or regulations in connection with your access or use of the application
- Remove, alter, or obscure any proprietary notice posted by us or the licensors of the application
- Use the application for creating a product, service, or software that is, directly or indirectly, competitive with or in any way a substitute for the application
- Use any proprietary information or any of our interfaces or our other intellectual property in the design, development, manufacture, licensing, or distribution of any applications, accessories, or devices for use with the application
Apple and Android Devices
The following terms apply when you use the mobile application obtained from either the Apple Store or Google Play (each an "App Distributor"):
- The licence granted to you for the mobile application is limited to a non-transferable licence to use the application on a device that utilises the Apple iOS or Android operating systems, as applicable, and in accordance with the usage rules set forth in the applicable App Distributor's terms of service.
- We are responsible for providing any maintenance and support services with respect to the mobile application as specified in these Terms or as otherwise required under applicable law.
- In the event of any failure of the mobile application to conform to any applicable warranty, you may notify the applicable App Distributor, and the App Distributor, in accordance with its terms and policies, may refund the purchase price, if any, paid for the mobile application.
- You represent and warrant that (i) you are not located in a country that is subject to a US government embargo, or that has been designated by the US government as a "terrorist supporting" country and (ii) you are not listed on any US government list of prohibited or restricted parties.
- You must comply with applicable third-party terms of agreement when using the mobile application.
- You acknowledge and agree that the App Distributors are third-party beneficiaries of these Terms, and that each App Distributor will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
17. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Jobiit, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:
- Your breach of these Terms or any applicable law
- Your negligence, misconduct, or failure to perform services to a reasonable standard
- Any claim by a customer related to the services you performed
- VAT errors, tax non-compliance, or incorrect pricing (including Revenue penalties)
- Your failure to maintain adequate insurance
- Infringement of any third party's rights
- Any employment-related claim by anyone you engage to assist with services
- Data breaches arising from your own systems or negligence
- Your use of the Services
- Your Contributions to the Services
18. LIMITATION OF LIABILITY & DISCLAIMER
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
To the maximum extent permitted by Irish law:
- Jobiit's total aggregate liability to you in respect of any claim shall not exceed the total Platform Fees received by Jobiit from your transactions in the 12 months preceding the claim.
- Jobiit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses.
- Mandatory carve-outs (these cannot be excluded under Irish law):
- Liability for death or personal injury caused by Jobiit's own negligence
- Liability for fraud or fraudulent misrepresentation by Jobiit
- Liability for breach of data protection law (GDPR / Data Protection Act 2018)
- Any other liability that cannot be excluded or limited under Irish law
19. ANTI-BRIBERY & ANTI-CORRUPTION
- You shall comply with all applicable anti-bribery and anti-corruption laws, including the Criminal Justice (Corruption Offences) Act 2018.
- You shall not offer, promise, give, or accept any bribe, kickback, or other improper payment or benefit to or from any Jobiit employee, agent, or representative in connection with your use of the Platform, including (without limitation) in connection with account approval, dispute resolution, review moderation, or job matching.
- Any breach of this section constitutes serious grounds for immediate suspension and termination under Section 9.
20. FORCE MAJEURE
Jobiit shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond Jobiit's reasonable control, including but not limited to: natural disasters, pandemic or epidemic, government action or regulation, failure of third-party infrastructure or services (including Stripe, Google Cloud Platform, Firebase, and other service providers), cyberattack, power failure, telecommunications failure, or industrial action. Where a force majeure event continues for more than 30 consecutive days, either party may terminate the affected services without liability.
21. DATA PROCESSING & PRIVACY
Your personal data, company data, and uploaded documents are processed in accordance with our Privacy Policy, which forms part of these Terms. The Privacy Policy details the categories of data collected, legal bases for processing (including automated document analysis via Google Cloud Document AI), your rights as a data subject, and retention periods. By accepting these Terms, you confirm that you have read and understood the Privacy Policy.
22. STRIPE CONNECT
- By registering as a trader, you agree to be bound by Stripe's Connected Account Agreement in addition to these Terms.
- Jobiit uses Stripe Connect for payment processing. Stripe's terms govern payment processing, payouts, and financial data handling.
23. SERVICES MANAGEMENT
We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, remove from the Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.
24. TERM AND TERMINATION
These Terms shall remain in full force and effect while you use the Services. Subject to the notice requirements in Section 9 (Account Approval, Suspension & Complaints), Jobiit reserves the right to terminate or suspend your account.
If we terminate or suspend your account for serious grounds (as defined in Section 9), you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action.
Upon termination, pending payments are handled in accordance with Section 9.
25. GOVERNING LAW & JURISDICTION
- These Terms are governed by and construed in accordance with the laws of Ireland. The United Nations Convention on the International Sale of Goods is expressly excluded.
- The courts of Ireland shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
- This exclusive jurisdiction clause does not affect your right to use the internal complaint mechanism (Section 9) or mediation before commencing legal proceedings.
26. GENERAL TERMS
- Assignment: Jobiit may assign, transfer, or sub-contract its rights and obligations under these Terms (in whole or in part) without your prior consent, including in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of Jobiit's assets. You may not assign or transfer your account or any rights or obligations under these Terms without Jobiit's prior written consent. Any purported assignment in breach of this section is void. Accounts are non-transferable and may not be sold.
- Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect. Where possible, the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
- Electronic communications: You agree that all communications from Jobiit — including notices, agreements, disclosures, and other communications — may be provided electronically (via email, in-app notification, or through the Platform) and that such electronic communications satisfy any legal requirement that such communications be in writing, in accordance with the Electronic Commerce Act 2000.
- Entire agreement: These Terms, together with the Privacy Policy, Stripe's Connected Account Agreement, and any other policies referenced herein, constitute the entire agreement between you and Jobiit and supersede all prior or contemporaneous agreements, representations, or understandings.
- No waiver: Jobiit's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- No joint venture: These Terms and your use of the Services do not create a joint venture, partnership, employment, or agency relationship between you and Jobiit (see Section 3 — Independent Contractor Status).
- User data: We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services.
- Corrections: There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.
